We seem to be having issues with both of our Microsoft peers at 511, but no others. Is anybody experiencing similar issues? 206.108.255.156 and 206.108.255.157. FW: [MICE-DISCUSS] MICE UG 39

by AnthonyAnderberg＠nuvera.net

A reminder that MICE UG39 is this afternoon - please attend one way or the other so we get a quorum and conduct this year’s elections and business, details below: From: MICE Discuss <MICE-DISCUSS(a)LISTS.IPHOUSE.NET> on behalf of Richard Laager <rlaager(a)WIKTEL.COM> Reply-To: MICE Discuss <MICE-DISCUSS(a)LISTS.IPHOUSE.NET> Date: Monday, September 20, 2021 at 12:38 AM To: MICE Discuss <MICE-DISCUSS(a)LISTS.IPHOUSE.NET> Subject: [MICE-DISCUSS] MICE UG 39 [Resending with correct Subject and Agenda attachment.] MICE UG 39 is this week (Wednesday, September 22). It will be in person and Zoom; details for both below. I've attached an agenda, which is just our stock agenda, plus the quorum topic and the election. UG 38 minutes are attached. As promised, I made a specific quorum proposal for discussion on the list: http://lists.iphouse.net/cgi-bin/wa?A2=ind2109&L=MICE-DISCUSS&T=0&F=&S=&P=9… For the election, the only nomination was Reid FIshler, so he is running unopposed. As has been our practice, we will still hold the vote for procedural reasons, even though the result is known. Updated meeting information: http://lists.iphouse.net/cgi-bin/wa?A2=ind2108&L=MICE-DISCUSS&D=0&T=0&P=5908 Notable points: * Masks required for all in-person attendees. * Zoom Details: https://umn.zoom.us/j/95578944919?pwd=Nk1pQXkyZ3dvNkdHTEFoeVNrblFLUT09 Meeting ID: 955 7894 4919 Passcode: 0dKX6f Venue information from last time: -------- Forwarded Message -------- MICE UG 38 will be held at the University’s Information Technology Building, 2218 University Ave SE, Minneapolis, MN 55414, Room 185. It is across University Ave SE from Huntington Bank Stadium (Formerly TCF Bank Stadium), see the link to the Campus Map below. This room has a video room system and remote access will be made available via Zoom video or phone audio, see Zoom details below. [snip superceded mask policy] Bring your own refreshments, the building's vending machines are still empty due to COVID precautions. There is a Caribou Coffee, just to the southeast of the building, and a CVS on the southwest corner of Ontario St SE and Washington Ave SE, less than a half a block away, and many other options are within easy walking distance. Please enter the building through the middle of three doors on the Ontario St SE side of the building, it will be open after 2:30 and will have a sign on it, if not please knock hard, or call my cell phone(612-812-9952). This door is right outside the meeting room, this avoids everyone traipsing through the building. The Stadium Village Green Line Light Rail Station is less than a block east of the building, kitty-corner at the intersection of University Ave SE and Huron Blvd SE, see the link below for the station's info page. Limited Street Parking is available on Ontario St SE and Beacon St SE. Otherwise, public parking is available in the Oak St and University Ave Ramps, each a little over two blocks away. Also, there is the Maroon and Gold Lots, which are a little further, on the north side of the Stadium, see the links below for more details on these ramps and lots. DO NOT park in University Parking Lot 70 on the north of the building, by the front door, between University Ave SE and the building, or Parking Lot 71 near the loading dock to the east of the building, they are contract parking only and you be ticketed. Also, DO NOT park in the private parking lot to the south of the building, you will likely be tagged, booted, and towed from that parking lot. https://campusmaps.umn.edu/information-technology https://safe-campus.umn.edu/return-campus/covid-19-updates https://www.metrotransit.org/stadium-village-station https://www.pts.umn.edu/park/facilities/oakstreet https://www.pts.umn.edu/park/facilities/univave https://www.pts.umn.edu/park/facilities/maroon https://www.pts.umn.edu/park/facilities/gold ________________________________ To unsubscribe from the MICE-DISCUSS list, click the following link: http://lists.iphouse.net/cgi-bin/wa?SUBED1=MICE-DISCUSS&A=1

I would like to see something like if only 10 members are present and not the quorum that is now set, that no action can take place until the next meeting or the next full quorum. Re: Quorum

Since this was mentioned on a call I had with Richard on Friday, I’m guessing the merger that he mentioned below may have been related to the networks of BBV, SMB and CNS (Fiber Minnesota) coming together on 9/1. However, the services provided by those companies will still remain with their respective companies. (i.e.: BBV will still provide Internet services for their customers. FM will just provide transport to BBV for their services.) Thus, there should be no change in membership as a result of this merger. If interested, here is a link to the press release: https://blandinonbroadband.org/2021/09/13/fiber-minnesota-creates-statewide… Thanks, Dean From: MICE Discuss <MICE-DISCUSS(a)LISTS.IPHOUSE.NET> On Behalf Of Richard Laager Sent: Monday, September 20, 2021 12:13 AM To: MICE-DISCUSS(a)LISTS.IPHOUSE.NET Subject: [MICE-DISCUSS] Quorum We've had the topic of quorum on the agenda a few times. At the last meeting, I said I thought our annual meeting would be a good time to take that up officially. I said I'd send a proposal to the list. To recap the concern: Our bylaws currently set the quorum at 10%. As we add members (which is great!), the required quorum increases proportionally. However, it seems we have approximately the same core group interested in governance. If we grow much more, we may be unable to meet the quorum requirement. We have already had a couple meetings where we had to wait for people to show up, or contact people to encourage them to join the call. The attendance numbers going back to the end of 2017 are: 11, 11, 10, 9*, 12, 12, 11, 16*, 11, 16, 15*, 15, 15 * Regular annual meeting with election. The current Bylaws and the Attendance information can be found at: http://micemn.net/resources.html As of the last meeting, our voting membership was 118, which puts quorum at 12 members. (Also, I understand that a merger has happened which would reduce most, if not all, of the previous attendance numbers by 1.) Counterargument: We haven't actually completely failed quorum yet. Counter-counter-argument: It's been close, and if it happens, then without a quorum, we can't fix the issue. We previously discussed the idea of setting a cap on the quorum. That is, it would be 10% or X, whichever is lower. This is consistent with other provisions in the bylaws (e.g. 3% or 50 members, whichever is less, can call a meeting if no meeting has occurred in 15 months). This seems like a great solution to me. I think 10 would be a good number. I propose that section 1.11 of the bylaws be amended to read as follows: Members representing ten percent (10%) of the voting power of the membership interests entitled to vote at a meeting of the members, or at least ten (10) members, whichever is less, are a quorum for the transaction of business. Re: Quorum

by Dean Bahls

I support what Richard proposes. When things go well, interest is low. So it surely makes sense to let the core group (who mostly got MICE going in the first place), keep us moving forward. If there is something controversial going on, folks have every right to show up and make their voices heard.
