All, As we approach UG 9, Reid Fischler's term is coming to an end. The SC has been discussing his term and feel that MICE needs someone with a larger reach (read Global, not just local or regional) to fill that position, especially with the push for growth on the exchange that we currently have. With that need comes a limited number of candidates who can fit that role on MICE. We have discussed several options and, at this time, the SC would like to recommend that we extend Reid's term for a period of time while we discuss a long-term plan. The original purpose of the term limits was to push out the founders to make sure the exchange isn't dominated by a couple of personalities or companies. We're likely beyond that now that all of the original gang of three are termed out making it somewhat harder to become a MICE king. I would propose that we solve the general case rather than the immediate crises. I believe Reid was elected in May 2011 so he still has 6-7 months left. So there is plenty of time, we could vote at UG in Oct. I propose we vote at the UG on extending the maximum consecutive terms to 2 (3 years each) then requiring at least 1 year break. -- Jay Hanke CTO, CCIE #19093 Mankato Networks LLC PO Box 54 619 S Front St Mankato, MN 56001-3838 Google 530-618-2398 jayhanke@mankatonetworks.net http://www.mankatonetworks.com http://www.neutralpath.net ######################################################################## To unsubscribe from the MICE-DISCUSS list, click the following link: http://lists.iphouse.net/cgi-bin/wa?SUBED1=MICE-DISCUSS&A=1

Thanks. So effectively the conversation is dissolution of the LLC, not a conversion. Filing the 501c6 paperwork isn't hard. Or costly. OIXA paid a CPA $900 to assist and we did most of the work with respect to the questions: http://www.open-ix.org/wp-content/uploads/2014/02/OIXA_501c6.pdf The legal cost is standing up the corp. I believe _you can_ take donations for the purpose of the 501c6 formation as long as you have the corporation and an EIN in place. I am not positive that an LLC is compatible with a 501c6 filing, but that's why you need a lawyer. :) The other problem we have is anti-trust. Please feel free to use our policy.
